What is a partnership?

A partnership is a legal form of company in which the partners are at the center. It is not an independent legal entity, but has a legal capacity that is defined by the totality of its members. Typical characteristics of partnerships are the personal liability of the partners for the liabilities of the company and the close ties between the company and its partners.

Types of partnerships:

Partnerships are an important form of business organization, especially for small and medium-sized companies. They offer flexibility, personal liability and simple formation, but are also associated with risks, as the partners are personally liable for the company’s debts.

Partnership under civil law:

A simple form of partnership that consists of at least two partners and has no specific commercial purpose.

General partnership:

A partnership engaged in a commercial enterprise in which all partners have unlimited personal liability.

Limited partnership

Consists of at least one partner with full liability (general partner) and one or more partners with limited liability (limited partners).

Characteristics of partnerships:

This type of company is often chosen by small and medium-sized companies and is characterized by its flexibility and simple formation modalities.

Personal liability

In most cases, the shareholders have unlimited personal liability for the company's liabilities. This means that in the event of debts, the shareholders' personal assets may also be affected (except in the case of certain forms such as GmbH & Co. KG, where liability is limited).

A partnership consists of at least two partners, who can be either natural persons or legal entities.

Partnership agreements

The rules of cooperation and the rights and obligations of the partners are usually set out in a partnership agreement. This agreement also regulates the distribution of profits, decision-making and other important aspects of the partnership.

Tax treatment

Partnerships are generally transparent for tax purposes. This means that profits are attributed directly to the partners and are taxed by them (transparent principle). The company itself does not pay corporation tax.

Simple foundation

The formation of a partnership is generally uncomplicated and does not require notarization of a partnership agreement, unless it is a special form such as a GmbH & Co. KG.

Advantages of a partnership:

Partnerships combine flexibility, ease of formation and tax advantages and are therefore an attractive option for many entrepreneurs. However, it is important to consider the specific risks, in particular personal liability, and to seek legal and tax advice if necessary.

The shareholders can individually define the rules of cooperation and profit distribution in the articles of association, which allows a high degree of flexibility.

Partnerships are transparent for tax purposes, which means that profits are attributed directly to the partners and taxed accordingly. Companies do not have to pay corporation tax, which can lead to a lower tax burden.

The distribution of profits can be structured flexibly and the shareholders can agree in the partnership agreement how the profits are to be distributed. This provides scope for responding to the most diverse needs of the shareholders.

Less bureaucratic effort

Compared to corporations, such as a GmbH, there are fewer legal requirements, such as the publication of annual financial statements or compliance with stricter regulations.
